Biogas Nord AG publishes figures for 2009

- Total output of 35,304k EUR (+99.5 %)
- EBIT of -962k EUR (previous year: -8,571k EUR)
- Contract value signed in 2009 of 48,400k EUR (+143.2 %)
- 2010 forecast - revenue growth and possible breakeven

Bielefeld, 30th June, 2010. Biogas Nord AG has published its financial results for the year 2009, pursuant to § § 290 ff HGB and the supplementary provisions based on the Companies Act.

First Self-owned plant

Bielefeld, 27 January 2010. Biogas Nord AG has started operating its first own biogas plant – a new business segment was added into the Company’s portfolio of activities. The Company took its first steps in this sector in December 2009, connecting its first biogas plant to the grid.

Company exercises the right to issue a 2 percent convertible bond from 2009/2012

Bielefeld, December 7, 2009. The Management Board of Bielfeld-based Biogas Nord AG has received the approval of the company’s Supervisory Board to make use of its right to issue a convertible bond.

Annual General Meeting approves resolution authorizing a convertible bond

Bielefeld, September 18, 2009. The Annual General Meeting of Biogas Nord AG which took place on August 31st 2009, approved the proposal of the Management and the Supervisory Board to authorize the Management to issue until August 30th, 2014 one-time or reiterate warrant and/or convertible bonds in the amount of up to 2,000,000 EUR, and to grant the bondholders option or conversion privileges for 1,281,250 shares, representing 1,281,250 EUR of the share capital.

Changes in the Executive Board

Bielefeld, 28 August 2009. The Supervisory Board of Biogas Nord AG has accepted the request of current CFO, Matthias Kubat, to stand down with immediate effect. Mr Kubat is also relinquishing all his executive duties in Biogas Nord AG’s foreign subsidiaries.

Publication of 2008 company data

Bielefeld, 14th July 2009. Biogas Nord AG has today published its company data for 2008. The consolidated accounts of 31st December 2008 have been produced in accordance with §§ 290 ff. HGB (German Commercial Code) and the additional requirements of the Aktiengesetz (German Joint-stock Companies Act).

New Supervisory Board at Biogas Nord AG

Bielefeld, 16 June 2009. The Bielefeld local court has appointed Aleksander Rechter, Andrzej Jazwinski and Boleslaw Piechucki to the new Supervisory Board of Biogas Nord AG.

Strategic investor holds majority of shares in Biogas Nord AG

Bielefeld, 29 April 2009. As at the 27th of April 2009, Gerrit Holz, the founder of Biogas Nord AG sold 1,136,875 shares (44.3 %) in the company to European Business Partners of Warsaw, Poland, for an undisclosed price. Gerrit Holz will keep 5 % of the shares in the company.
